Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“Customer,” “you”) and Geolyti, Inc. (“Geolyti,” “we,” “us”) governing your access to and use of the Geolyti website, dashboard, and related services (collectively, the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity.

If you do not agree to these Terms, do not use the Service.

Geolyti monitors, analyzes, and helps you improve how AI assistants (such as ChatGPT, Claude, Gemini, Perplexity, and Copilot) describe, mention, and recommend your company in response to buyer-intent prompts, and generates draft marketing and support content grounded in information you provide.

Monitoring data. Visibility and monitoring data shown in the Service is generated from structured, realistic simulations seeded by the information you provide during onboarding (your company description, industry, and named competitors), unless and until we explicitly enable live queries against third-party AI platforms for your account. We will disclose in-product whenever a given feature relies on live third-party AI outputs rather than simulated data. Simulated data is designed to be directionally realistic and useful for prioritization, but it is not a live scrape or guaranteed reproduction of any AI platform's actual output at any given moment.

Generated content. Content Studio uses a third-party large language model to draft comparison pages, FAQs, and short-form content based on your company and competitor information. Generated drafts are suggestions only. Geolyti never publishes anything to any website, CMS, or third-party platform on your behalf — you must review, edit, export, and publish content yourself.

The Service is intended for business use by companies and professionals, not consumers. You must be at least 18 years old and able to form a binding contract to use the Service.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at legal@geolyti.com if you suspect unauthorized use of your account. We use industry-standard password hashing and never store your password in plain text.

The Service is offered on paid subscription plans (currently Starter, Growth, and Scale), billed monthly in advance. Plan features and usage limits (tracked prompts, platforms monitored, content drafts per month, and access to Growth Copilot) are described at checkout and in your account's billing page, and are subject to change with notice as described in Section 13.

Billing is handled by Paddle. All checkout, payment processing, invoicing, tax calculation and collection, and subscription management is performed by Paddle.com Market Limited (“Paddle”), our payment processor and, for applicable transactions, the authorized reseller and merchant of record for the Service. When you subscribe, you are entering into a transaction with Paddle as merchant of record, and Paddle's own terms of use and privacy policy govern the payment transaction itself. We do not receive or store your full payment card details.

Subscriptions renew automatically each billing period unless canceled before the renewal date. You can cancel, upgrade, or downgrade your plan at any time from the billing page; changes take effect according to the timing shown at checkout or in the Paddle customer portal. Refunds are governed by our Refund Policy, which is incorporated into these Terms: a charge refunded within 7 days is refunded in full, a charge refunded later is refunded at 30%, and tax is excluded from both. Fees are otherwise non-refundable, including for partial billing periods.

If a payment fails, we may suspend or downgrade access to paid features until payment is resolved. We will make reasonable efforts to notify you before suspending your account for non-payment.

You retain all ownership rights in the information you submit to the Service, including your company description, website, industry, and the names of competitors you identify (“Customer Data”). You grant Geolyti a worldwide, non-exclusive, royalty-free license to host, process, and use Customer Data solely to provide, maintain, and improve the Service for you, including to generate monitoring insights and drafted content.

You represent that you have the right to submit Customer Data to the Service and that doing so does not violate any third party's rights. You are responsible for the accuracy of the information you provide, including competitor names, which are used only to generate comparative analysis and drafted content and are never disparaged or misrepresented by design in generated output.

Content generated through Content Studio is produced by a third-party AI model based on the information you provide. AI-generated content can be inaccurate, incomplete, or inappropriate for your specific context. Geolyti does not warrant the accuracy, completeness, originality, or fitness for any purpose of AI-generated content.

You are solely responsible for reviewing, fact-checking, editing, and approving any generated content before using, publishing, or relying on it in any way, including verifying that it does not infringe any third party's intellectual property rights, make unsubstantiated claims, or violate any applicable advertising, competition, or consumer protection law. Geolyti never auto-publishes generated content anywhere; every export requires your explicit action.

You agree not to use the Service to:

• Violate any law or the rights of any third party, including intellectual property and privacy rights;
• Submit content about a competitor that is defamatory, harassing, or intended to deceive;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Interfere with or disrupt the integrity or performance of the Service, including via scraping, load testing, or circumventing rate limits;
• Reverse engineer or attempt to extract the underlying models, prompts, or source code of the Service, except to the extent applicable law prohibits this restriction;
• Resell or white-label the Service without our written consent; or
• Use the Service to build a directly competing product.

The Service references and monitors visibility on third-party AI assistants, including ChatGPT (OpenAI), Claude (Anthropic), Gemini (Google), Perplexity, and Copilot (Microsoft). Geolyti is not affiliated with, endorsed by, or sponsored by any of these companies, and their trademarks are used solely to describe the platforms our Service monitors and analyzes. Content Studio's generation feature is itself powered by Anthropic's API, subject to Anthropic's own acceptable use policies.

Geolyti, its logos, and the Service's software, design, and underlying technology are owned by Geolyti, Inc. and protected by intellectual property laws. Except for the limited rights expressly granted to use the Service, no rights are granted to you by implication or otherwise.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MONITORING DATA OR GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOLYTI AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify and hold Geolyti harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service in violation of these Terms, or your publication or use of AI-generated content without adequate review.

We may modify the Service or these Terms from time to time. For material changes, we will provide notice by email or in-app at least 14 days before the change takes effect where practicable. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period unless stated otherwise. We may suspend or terminate your access for material breach of these Terms, non-payment, or if required by law, with notice where practicable. Upon termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 6, 10, 11, and 12) will survive.

These Terms are governed by the laws of the jurisdiction in which Geolyti, Inc. is incorporated, without regard to conflict-of-law principles. [Placeholder — insert your actual governing jurisdiction and dispute resolution process, e.g. arbitration clause or exclusive venue, during legal review.]
